Terms and Conditions of MAUS B.V.

Stars and Stories® Holding B.V.

1. Definitions

The following definitions apply to these Terms and Conditions:

  1. MAUS B.V, (formerly know as Stars and Stories Holding BV.): Refers to the private limited liability company MAUS B.V., trading under the names ‘Stars and Stories,’ ‘Buzzador,’ and ‘Reviewclub,’ registered with the Dutch Chamber of Commerce under number 64341550 and located at Blekerstraat 1D, 2222AN, Katwijk aan Zee, The Netherlands.
  2. The Client: The counterparty entering into an agreement with MAUS B.V.
  3. Community Members: Individuals participating in campaigns organized by MAUS B.V. through the Reviewclub or Buzzador platforms. Community Members test products, provide feedback, and create user-generated content.
  4. The Services: Activities undertaken by MAUS B.V. to help consumer brands collect user-generated content (UGC) through the sampling of products and the activation of Community Members.
  5. Campaign: A specific project in which Community Members are activated to test, review, and promote Client products.
  6. Effective Date: 20 November 2024.

 

2. Applicability

  1. These Terms and Conditions apply to all offers, agreements, and campaigns organized by MAUS B.V.
  2. They also govern additional, subsequent, or extra work unless explicitly agreed otherwise in writing.
  3. Deviations from these Terms do not invalidate the remainder of the agreement.

3. General Terms for Campaign Participation

  1. Community Member Registration:
    1. By registering as a Community Member, individuals agree to these Terms and Conditions.
    2. Community Members must be at least 18 years of age and provide accurate personal information.
  2. Voluntary Participation:
    1. Campaign participation is voluntary. Community Members can opt out of campaigns at any time and are not obligated to participate in paid campaigns.
    2. Community Members must notify MAUS B.V. if unable to complete an ongoing campaign.
  3. Responsibilities of Community Members:
    1. Community Members must test the products, share their experiences with others, and provide honest feedback or reviews.
    2. Social media posts must disclose their association with MAUS B.V. (e.g., “In association with Buzzador”).
  4. Authenticity of User-Generated Content:
    1. Content created by Community Members must be honest, unbiased, and relevant. MAUS B.V. does not influence or modify their opinions.

 

4. Product Handling and Sample Ownership

  1. Client Responsibilities:
    1. The Client must provide the agreed number of samples within one week of the agreement unless otherwise specified.
    2. Samples must be safe and suitable for their intended use.
  2. Sample Ownership:
    1. Samples provided to MAUS B.V. become its property if uncollected within three months after a campaign.
  3. Risk and Liability:
    1. MAUS B.V. is not liable for loss, theft, or damage to products during transport, storage, or use by Community Members.

5. Campaign Rules and Limitations

  1. Participant Limits:
    1. Campaigns are limited to a maximum of 50 Community Members per SKU for FMCG Clients and 25 for other types of Clients.
    2. For Amazon campaigns, the recommended limit is 20 Community Members.
    3. MAUS B.V. does not guarantee publication of reviews or content on retailer platforms due to third-party moderation policies.
  2. Campaign Launch Timing:
    1. Campaigns launch every Friday. Slots are filled on a first-come, first-served basis.
  3. Multinational Campaigns:
    1. Campaigns can be activated in multiple countries, subject to availability. Additional fees apply for shipping to non-EU countries.
  4. Content Outcomes:
    1. On average, each sample generates two pieces of user-generated content published on four online retailers.

 

6. Data Privacy and Use

  1. Personal Data:
    • MAUS B.V. collects and processes personal data per GDPR and other applicable laws.
    • Data collected is used solely for campaign management and is not shared with third parties without explicit consent.
  2. Social Media Permissions:
    • Community Members may link their Instagram, Facebook, or YouTube accounts for campaign participation. Permissions can be revoked at any time.
  3. Anonymized Data Sharing:
    • Feedback and anonymized data from Community Members may be shared with Clients for product and marketing development.

7. Pricing, Payment, and Membership Terms

  1. Assignment Pricing:
    • Campaign fees are fixed and specified in the agreement. Additional work is charged at an hourly rate (EUR 85/hour for campaign managers and EUR 125/hour for management).
  2. Payment Terms:
    • Clients must pay invoices within 30 days. Late payments incur interest (legal rate + 2%).
    • Memberships renew automatically with a 7% price increase after 12 months. One month’s notice is required for cancellation.
  3. Refunds:
    • Verified purchase budgets are non-refundable if the membership is canceled.

 

8. Termination

  1. Termination by Community Members or MAUS B.V.:
    • ○ Either party may terminate participation at any time. Community Member accounts are deleted upon termination, though anonymized user data may remain.
  2. Cancellation by Client:
    • ○ If the Client cancels before campaign activities begin, they owe 50% of the campaign fee. After activities commence, the full fee is due.

9. Liability and Indemnification

  1. Client Indemnification:
    • The Client is liable for product safety and indemnifies MAUS B.V. against claims from Community Members related to product defects.
  2. Limitations of Liability:
    • The Client is liable for product safety and indemnifies MAUS B.V. against claims from Community Members related to product defects.
    • Liability is capped at EUR 100,000 or the campaign fee, whichever is lower.

10. Client Obligations

  1. Feedback Obligations:
    • Clients agree to provide an honest review of MAUS B.V.’s services after receiving 100 pieces of content. These reviews may be showcased on MAUS B.V.’s website and promotional materials.

11. Governing Law and Dispute Resolution

  1. Governing Law:
    • These Terms are governed by Dutch law.
  2. Dispute Resolution:
    • Disputes must be submitted to the competent court in Amsterdam.
